Bwin.Party Shares Up Nearly 2 Percent on News of Potential Shakeup

Bwin.Party shares were up 1.97% (124.00) Thursday following news that activist investor Jason Ader looked to shake things up on the board.

Bwin.Party, which is listed on the London Stock Exchange, is the product of a merger between PartyGaming and Bwin Interactive Entertainment in 2011. It owns a network of poker, casino, betting and bingo websites. Ader’s company, SpringOwl acquired a 5.25 percent stake in Bwin.Party in February from the founders of PartyGaming, Ruth Parasol and Russ DeLeon, who sold their 14.3 percent stake as part of a divorce settlement.

Gambling911.com had speculated that Ader was not about to sit back idly after his acquisition was revealed back in February.  The only thing surprising is that it has taken this long for him to act.

On Thursday, Ader announced intentions to add four new hand-picked Directors to the board of Bwin.Party.

The proposed new Directors have significant experience in online gaming, technology and the US banking system.

"SpringOwl has made numerous attempts to work with the incumbent Board of BPTY to facilitate a reconstitution of the Board to ensure accountability to shareholders.  Unfortunately, the incumbent Board has chosen to seek to maintain the status quo.  We believe shareholders have become disillusioned by ongoing declines in business metrics as the Board approves incremental equity grants," said Jason N. Ader, Chief Investment Officer of SpringOwl.

"We are seeking to add four highly qualified candidates to the Board who are committed to i) restoring an alignment between the actions of the Board and the BPTY shareholders, ii) adopting best practices of corporate governance and iii) working with Management to pursue any and all alternatives available to maximize long-term shareholder value," he continued.

Michael B. Fertik

Francis X. Grady -

Kalendu Patel -
